Agreement to Terms

Welcome to Wingmom. These Terms of Service ("Terms") govern your access to and use of the Wingmom website, mobile applications, and services (collectively, the "Service"), including our SMS-based event coordination assistant, Maia.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

Description of Service

Wingmom is an event coordination platform that helps users plan and organize social gatherings. Our AI assistant, Maia, facilitates communication between event organizers and guests through SMS text messaging to coordinate schedules, send reminders, and manage RSVPs.

Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

SMS/Text Messaging Terms

By providing your phone number and using the Service, you expressly consent to receive SMS text messages from Wingmom (via our assistant, Maia). By opting in, you agree to the following:

Consent to Receive Messages

You consent to receive automated SMS text messages from Wingmom at the phone number you provide. These messages may include:

• Event invitations and coordination messages
• RSVP requests and confirmations
• Event reminders and schedule updates
• Authentication and verification codes
• Service-related notifications

Message Frequency and Costs

Message frequency varies based on your activity and event participation. Standard message and data rates may apply. You are responsible for any charges from your mobile carrier.

Opting Out

You may opt out of receiving SMS messages at any time by replying STOP to any message from Wingmom. After opting out, you will receive a single confirmation message. You may also contact us at support@joinwingmom.com to opt out.

Please note that opting out of SMS messages may significantly limit your ability to use the Service, as SMS is the primary method of event coordination.

Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your network operator.

User Conduct

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send spam, unsolicited messages, or harass others
• Impersonate any person or entity
• Upload or transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any commercial purpose without our consent
• Collect or harvest user information without consent
• Create events for fraudulent or illegal purposes

Intellectual Property

The Service and its original content, features, and functionality are owned by Wingmom and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit through the Service (such as event details). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Service.

Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or content. We do not control and are not responsible for third-party content, privacy practices, or terms of service. Your use of third-party services is at your own risk.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINGMOM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Wingmom and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wingmom regarding the Service and supersede all prior agreements and understandings.
